Explanation of Amendment No. 1 & Relationship Between TCTC and GreenDOT Transportation Solutions

1.                     Purpose of the Amendment

This amendment modifies the original agreement between the Tehama County Transportation Commission (TCTC) and GreenDOT Transportation Solutions for the Climate Implementation Program Development in Tehama County. The amendment specifically extends the agreement’s term, updates billing and indemnification provisions, and increases the total maximum compensation.

2. Key Amendments

•                     Billing and Payment Terms:

o                     GreenDOT will submit detailed invoices by the 15th of each month.

o                     Payments will be made by TCTC within 30 days for all undisputed invoices.

o                     Payment will be based on a lump sum percentage of project completion.

•                     Indemnification Clause:

o                     GreenDOT and TCTC are indemnified against claims arising from contractor negligence.

o                     This includes legal liabilities related to IRS or tax agency determinations.

o                     However, GreenDOT is not bound by the indemnity section in the primary contract (Attachment D).

•                     Extension of Agreement:

o                     Originally scheduled to terminate earlier, the contract is now extended until June 30, 2027.

o                     This ensures continuity of the Climate Implementation Program development.

•                     Financial Adjustments:

o                     The original agreement (April 8, 2020) was not to exceed $150,000.

o                     Amendment No. 1 (June 28, 2021) added $50,000.

o                     Now, the total maximum compensation is set at $525,000.

3. Relationship Between TCTC and GreenDOT Transportation Solutions

•                     GreenDOT Transportation Solutions, led by Jeff Schwein, is a consultant firm that specializes in transportation planning and environmental strategies.

•                     TCTC hired GreenDOT to develop the Climate Implementation Program, likely focusing on sustainable transportation, emissions reductions, and climate resilience in Tehama County.

•                     GreenDOT serves as an external consultant providing expertise, while TCTC is the government entity overseeing regional transportation planning and funding.

•                     GreenDOT is responsible for delivering studies, reports, or recommendations on climate implementation, while TCTC ensures compliance, funding, and oversight.

Summary

This amendment extends GreenDOT’s contract, clarifies payment terms, and adjusts liability clauses while securing continued funding for the Climate Implementation Program through 2027. GreenDOT acts as TCTC’s consulting partner, assisting in long-range transportation planning with a focus on climate adaptation and sustainability.
